Proposed Amendments to the By-Laws

Article IX: 9.1 Amending the By-Laws provides that the Executive Council may propose an amendment to our By-Laws at any time. The proposed amendment(s) must be electronically proposed via the Guild’s website two weeks prior to a regular meeting. Voting will occur at that meeting with a majority of the members attending constituting an affirmative response.

The Executive Council proposes the following amendments to the Central Virginia Modern Quilt Guild’s By-Laws to be voted on at our September 5, 2017 regular meeting.

Article I: Name, Purpose and General Matters

 1.6 Annual Meeting

 [Current: The January meeting of The Guild will be considered the Annual Meeting where elections are held, the budget is presented for approval and the President and Treasurer will deliver reports.]

Article II: Members

 2.4 Voting

 [Current: Absentee voting is allowed by Proxy voting only.”

Absentee voting is allowed. Members shall request an absentee ballot from the Nominating Committee Chair before the election and submit the ballot before the election. The Chair may issue and accept absentee ballots electronically.

Article III: Officers

 3.1 Officers

 [Current: Officer must attend 80% of the general and Executive Council meetings.”

3.3 Election of Officers

Elections will be held in December.

Article IV: Executive Council

 4.3 Meetings

 [Current: The Executive Council shall meet quarterly and as needed to conduct the business of The Guild.]

 The Executive Council may hold virtual meetings at the discretion of the Executive Council. Members may attend Executive Council meetings virtually at their discretion.
